End-User License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you and Overwatch for the use of our project management and financial reporting software.
1. License Grant
Ovyl, LLC grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for internal business purposes at Ovyl. This license is granted to authorized personnel only and does not permit use by third parties.
2. Restrictions
You may not: Copy, distribute, or sublicense the Application. Modify, reverse engineer, or attempt to extract source code from the Application. Use the Application for any commercial resale or distribution. Use the Application outside of Ovyl’s internal business operations.
3. Intellectual Property
The Application is owned and operated by Ovyl, LLC. All intellectual property rights in and to the Application, including any updates or improvements, are and shall remain the sole property of Ovyl, LLC.
3. Data Use
TThe Application connects to your company’s QuickBooks Online account to retrieve financial and operational data. No data is shared with third parties. All data retrieved via the QuickBooks API remains subject to Intuit’s terms of service and privacy policy.
4. Termination
This Agreement is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Application.
5. Disclaimer of Warranties
The Application is provided “as is” without warranty of any kind. Ovyl, LLC disclaims all warranties, express or implied, including but not limited to merchantability or fitness for a particular purpose.
6. Limitation of Liability
In no event shall Ovyl, LLC be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use or inability to use the Application.
6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.
